Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website rosetalentsolutions.io (the "Site") and the services provided by Rose Talent Solutions ("Rose Talent," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or Services.
1. Our services
Rose Talent provides nearshore staffing and recruitment services — sourcing, vetting, and presenting candidates, and supporting placements for businesses. Specific scope, pricing, and payment terms for a paid engagement are set out in a separate service agreement or order between you and Rose Talent. If those terms conflict with these Terms, the service agreement controls for that engagement.
2. Eligibility
You must be at least 18 years old and authorized to act on behalf of the business you represent. By using the Site or Services, you represent that you meet these requirements.
3. Bookings and communications
When you submit a form or book a call, you consent to being contacted by email, phone, or SMS about your request and our Services. You can opt out of marketing communications at any time. Message and data rates may apply to SMS.
4. Fees and payment
Fees for paid Services are as stated in your service agreement or order. Unless otherwise agreed, fees are billed monthly and are due on the terms specified. You are responsible for providing accurate billing information and for all charges incurred under your account.
5. Your responsibilities
- Provide accurate, complete information about your hiring needs;
- Use the Site and Services lawfully and only for legitimate business purposes;
- Treat candidate information confidentially and use it only to evaluate and manage placements;
- Comply with all applicable employment, labor, anti-discrimination, and data-protection laws in your dealings with candidates and placed staff.
6. Acceptable use
You agree not to misuse the Site or Services, including by attempting to disrupt or gain unauthorized access to our systems, scraping or harvesting data, infringing others' rights, or using the Services to send unlawful, deceptive, or harassing communications.
7. Intellectual property
The Site and its content — including text, graphics, logos, and software — are owned by or licensed to Rose Talent and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Site for its intended purpose. You may not copy, modify, distribute, or create derivative works without our permission.
8. Third-party services and links
The Site may use or link to third-party services (for example, scheduling, analytics, and payment providers). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their terms.
9. Disclaimers
The Site and Services are provided on an "as is" and "as available" basis. While we work hard to match qualified candidates, we do not guarantee any specific hire, outcome, retention, or result. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, Rose Talent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to the Site or Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services giving rise to the claim in the three (3) months before the event.
11. Indemnification
You agree to indemnify and hold harmless Rose Talent and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Term and termination
These Terms apply while you use the Site or Services. We may suspend or terminate your access at any time if you violate these Terms or for any lawful reason. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
13. Governing law and disputes
These Terms are governed by the laws of the United States and the State of New Jersey, without regard to conflict-of-laws rules. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in New Jersey, and you consent to their jurisdiction, unless your service agreement specifies otherwise.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
